24/7 Teach Mentorship Agreement:
1. Preamble: This Agreement, established on the date listed above, is a binding contract between 24/7 Education Inc, DBA as 24/7 Teach ("Company"), located at 105 West 125th St - Front 1 #1221, New York, NY, 10027, United States, and [Mentor's Full Name], herein referred to as "Mentor."
2. Scope of Service: The Mentor agrees to provide expert guidance to learners through the 24/7 Teach project-based curriculum, emphasizing project-based learning, to achieve meaningful educational outcomes that create value for the learners and others.
3. Term of Engagement: The Mentorship period commences on the start date listed above and ends 365 days later, subject to renewal or early termination as stipulated in this Agreement.
4. Compensation: The Company will remunerate the Mentor at a rate of up to $35, $50, $75, or $100 per session led based on technical experience and time with the Company. Any associated expenses incurred by the Mentor are their responsibility.
5. Independent Contractor Status: The Mentor acknowledges their role as an independent contractor. This Agreement does not constitute an employer-employee relationship.
6. Confidentiality: The Mentor agrees to maintain confidentiality regarding all proprietary and sensitive information related to the Company and its learners for two years post-mentorship.
7. Non-Compete & Non-Solicitation: For 12 months post-engagement, the Mentor is prohibited from offering similar services to direct competitors of 24/7 Teach or soliciting its clients or staff without prior approval from the Company.
8. Intellectual Property: All educational materials, project designs, and associated content developed during this mentorship period are the exclusive property of 24/7 Teach.
9. Termination: Either party can terminate this Agreement with a 30-day written notice. In such an event, the Mentor is compensated for sessions conducted up to the termination notice's effective date.
10. Feedback & Revisions: The Company may review, provide feedback, and suggest modifications to the mentorship process, and the Mentor will be receptive to implementing revisions based on the provided feedback.
11. Liability Limitation: Neither party shall be held accountable for indirect or consequential damages arising from this Agreement.
12. Dispute Resolution: Any disagreements or disputes arising from this Agreement will be addressed initially through mediation. If unresolved, arbitration will be the recourse, with proceedings held in New York.
13. Governing Law: This Agreement is governed by the laws of the State of New York.
14. Entire Agreement: This Agreement contains the total understanding between the Mentor and 24/7 Teach, overriding any prior oral or written communications.
15. Warranties: The Mentor assures the originality of their guidance, free from liens, encumbrances, or infringements.
16. Amendments: Modifications to this Agreement require written consent from both parties.
By signing above, both the Mentor and Company affirm their understanding and acceptance of the terms laid out in this Agreement.
